Dutch accounting firm acquisitions: consolidation and succession

Dutch accounting firm acquisitions need a clear view of who owns each practice. Independent firms have not disappeared, but a buyer working from company names alone can miss how much consolidation has already happened.

Key findings

We screened 1,665 Dutch accounting and tax companies with five to 100 employees and recent financial information. Eight ultimate-owner groups held 179 legal entities in that sample. The largest held dozens.

Those are legal entities in a selected company frame, not 179 separate office networks or a complete count of Dutch accounting practices. The distinction matters before an acquisition list becomes a list of people to contact.

The ownership split is 62%, 30% and 8%

The reconciled dataset classified 1,032 companies as independent ownership structures, 496 as consolidated and 137 as unclear. Rounded, that is 62% independent, 30% consolidated and 8% unclear.

The consolidated cut included 335 private-equity or platform records, 134 domestic corporate-group records and 27 foreign corporate records. Personal holdings and owner-controlled structures stayed on the independent side where the evidence supported that classification.

The unclear group was not silently counted as independent. These were companies with a single Dutch corporate owner for which the research could not establish a link to the principal or an acquisitive group.

The independent side remains sizeable. But an acquisition list needs to retain the unclear cases as a separate research task, rather than treating them as settled ownership.

Dutch accounting firm acquisitions: map practices as well as companies

Several legal entities can share one website, brand or ownership group. A buyer could otherwise contact different entities belonging to the same business as though they were separate opportunities.

For Dutch accounting firm acquisitions, map the operating practices, offices and decision-makers separately. A holding vehicle is useful for understanding ownership; it is not necessarily the business a buyer wants to acquire.

The sample's group counts should not be presented as current full-group portfolio totals.

Private equity accountancy platforms are one part of the ownership map, alongside corporate groups and owner-controlled firms. A buyer looking for an independent practice needs to check the shareholder chain. Membership of an international accounting network alone does not establish common ownership.

Director tenure is measured; owner age was inferred

Appointment dates were available for 1,206 of the 1,665 companies. Three hundred and sixty-five showed at least fifteen years of recorded tenure, and 78 showed at least twenty-five.

Some appointments concerned a holding company acting as director, rather than a named person. Its appointment date can help research the structure, but it does not establish the principal's age or personal length of service.

The research also explored age assumptions based on the start of an appointment. Those assumptions do not establish anyone's date of birth. Recorded tenure gives a clearer starting point for a discussion about the next stage of a practice.

A missing same-surname successor on the board does not establish that a firm lacks a handover plan. The next partner may not be family, may not yet be a director or may already run the practice without appearing in that particular record.

Twenty-three combined-screen candidates need verification

The research found 23 records combining the estimated €200,000 to €2.5 million EBITDA band, an inferred age of at least 55 and no identified consolidator. A small number of those records had unclear corporate ownership.

That is a first-pass research cut. It is not 23 firms with verified earnings, confirmed older owners and proven independence.

Financial disclosure is limited. The hard financial screen covered 826 records after removing a few outliers, and most reconstructions used changes in equity. Staff-benchmark-only estimates were excluded from the headline financial-band findings.

For a professional-services practice, current accounts also need to be understood alongside principal compensation, client relationships and staff continuity. A modelled earnings band cannot settle how the business would perform after the principal leaves.

From consolidation research to a buyer's brief

The company-data update was 11 July 2026, with our ownership audit and corrected dataset dated 28 July. The frame used primary activity code 6920, recent financials and five to 100 employees. It excludes firms outside those rules.

Here, independent means an ownership structure classified as owner-controlled rather than held by a consolidator. An ultimate-owner group connects legal entities through the ownership chain. Those definitions help separate practices a buyer might approach from holding vehicles or subsidiaries of the same group. Age assumptions and financial estimates remain separate from observed information.

Common questions about Dutch accounting firm acquisitions

How much of the Dutch accounting market is still independent?

In our sample of 1,665 Dutch accounting and tax companies, 1,032 were classified as independent ownership structures, 496 as consolidated and 137 as unclear: rounded, 62%, 30% and 8%. The sample is a selected company frame, not a complete count of Dutch accounting practices.

What role does private equity play in Dutch accounting firm acquisitions?

Private equity accountancy platforms are one part of the ownership map, alongside corporate groups and owner-controlled firms. Of the 496 consolidated records in our sample, 335 were private-equity or platform records, 134 domestic corporate-group records and 27 foreign corporate records.

What should a buyer check before acquiring an accounting firm?

Check the shareholder chain: membership of an international accounting network alone does not establish common ownership. Map the operating practices, offices and decision-makers separately, since several legal entities can share one website, brand or ownership group. Then read the current accounts alongside principal compensation, client relationships and staff continuity.
